Welcome to SayNo ("we," "our," or "us"). These Terms of Service are a legally binding contract between you and SayNo regarding your use of our productivity application and related services (collectively, the "Service").
BY CREATING AN ACCOUNT OR USING THE SERVICE, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
1. Service Overview
SayNo is a productivity application that helps users organize tasks using the Signal/Noise framework, set quarterly goals, and manage their time effectively. The Service includes web and mobile applications, integrations with third-party services (such as Google Calendar and Telegram), and AI-powered features.
2. Eligibility
You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.
3. Account Registration
To use the Service, you must create an account. You may register using your Google account or other authentication methods we provide. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Subscription and Payments
4.1 Free Trial
We may offer a free trial period. At the end of the trial, your access to premium features will be restricted unless you subscribe to a paid plan.
4.2 Subscription Plans
The Service offers subscription plans as described on our pricing page. All prices are in the currency displayed at checkout and are inclusive of applicable taxes unless otherwise stated.
4.3 Recurring Billing
Subscriptions automatically renew at the end of each billing period (monthly or yearly) unless cancelled before the renewal date. You authorize us to charge your payment method on file for recurring subscription fees.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to premium features until the end of your current billing period. We do not provide refunds for partial billing periods.
4.5 Price Changes
We reserve the right to change our prices. Any price changes will be communicated in advance and will apply to your next billing period.
5. License and Restrictions
5.1 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

You may not:
- Copy, modify, or distribute the Service
- Reverse engineer or attempt to extract the source code
- Use the Service for any illegal purpose
- Interfere with the Service's security features
- Share your account credentials with others
- Use automated systems to access the Service without permission
6. User Content

You retain ownership of all content you create or upload to the Service ("User Content"), including tasks, goals, and notes. By using the Service, you grant us a license to store, process, and display your User Content solely to provide the Service to you.
6.2 Responsibility
You are solely responsible for your User Content and must ensure it does not violate any laws or third-party rights.
7. AI Features
The Service may include AI-powered features for task classification, scheduling suggestions, and other functionality. AI-generated outputs are provided for convenience and should be reviewed by you. We do not guarantee the accuracy or suitability of AI-generated content.
8. Third-Party Integrations
The Service may integrate with third-party services such as Google Calendar and Telegram. Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for third-party services.
9. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
10. Termination
10.1 By You
You may terminate your account at any time by contacting us or using the account deletion feature.
10.2 By Us
We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion, with or without notice.
10.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your User Content after termination. We recommend exporting your data before terminating your account.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your User Content, or your violation of these Terms.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
15. Governing Law
These Terms are governed by the laws of Italy. Any disputes shall be resolved in the courts of Padova, Italy, without prejudice to any mandatory consumer protection laws that may apply in your jurisdiction.
